Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of the services provided by Stable Labs Corporation d/b/a Keychain ("Keychain," "we," "us"). By using our services, you agree to these Terms. If you do not agree, do not use our services.
2. Eligibility
You must be at least 18 years old, legally authorized to enter into contracts, and operating a legitimate business. You represent that all information you provide is accurate and complete.
3. Services
Keychain provides payment processing services. The specific features, availability, and supported regions may change at our discretion. We reserve the right to modify, suspend, or discontinue any part of the services at any time without liability.
4. Your Obligations
You agree to:
- Provide accurate and complete information
- Complete any required verification
- Use the services only for lawful purposes
- Comply with all applicable laws and regulations
- Maintain the security of your account credentials
5. Prohibited Use
You may not use our services for any unlawful purpose, including fraud, money laundering, terrorist financing, sanctions evasion, or the sale of illegal goods or services. We may suspend or terminate your access immediately if we suspect prohibited activity.
6. Fees
You agree to pay all applicable fees as disclosed in your account or as otherwise communicated. We may change our fees with 30 days' notice.
7. Settlements
We will settle funds to your designated account according to our standard processes, less any applicable fees, reserves, or deductions. Settlement timing is not guaranteed.
8. Termination
Either party may terminate this agreement at any time for any reason. We may suspend or terminate your access immediately if we believe you have violated these Terms or applicable law. Upon termination, we will settle any funds owed to you, less fees and any amounts we are entitled to withhold.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYCHAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Keychain and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the services, your violation of these Terms, or your violation of any law or third-party rights.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware. You waive any objection to jurisdiction or venue in such courts.
13. General
These Terms constitute the entire agreement between you and Keychain. Our failure to enforce any provision does not waive our right to do so. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign these Terms; you may not.
14. Changes
We may modify these Terms at any time. Continued use of the services after changes constitutes acceptance.
